1. Overview and acceptance of these Terms
These Terms of Use (“Terms”) govern your access to and use of:
- ShooflyAI websites and public-facing content
- The Shoofly Intelligence Cloud (“SIC”)
- Any ShooflyAI products, applications, APIs, integrations, or tools
- Professional services provided by ShooflyAI, LLC
(collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If there is any conflict between these Terms and a signed agreement between you and Shoofly (including a Master Services Agreement, Statement of Work, Data Processing Addendum, or similar agreement), the signed agreement will control.
2. Definitions
- “Client” means an organization that contracts with Shoofly to use the Services.
- “End User” means an individual authorized by a Client to use the Services.
- “Client Data” means information that a Client or its End Users provide to the Services or authorize Shoofly to access in order to deliver the Services.
- “SIC” means Shoofly’s secure application and data environment used to host Client-specific workflows, AI agents, integrations, and related data.
- “Services” means Shoofly’s websites, SIC, products, APIs, integrations, and professional services.
3. Eligibility and permitted use
You may use the Services only if you:
- Are legally capable of entering into a binding agreement
- Use the Services for lawful business purposes
- Comply with these Terms and all applicable laws and regulations
Shoofly does not offer direct-to-consumer services intended for personal, household, or child-directed use.
4. Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, or abusive purposes
- Attempt to gain unauthorized access to systems, data, or accounts
- Circumvent or interfere with security controls or safeguards
- Introduce malware, exploits, or malicious code
- Reverse engineer, copy, or misuse the Services except as expressly permitted
- Use the Services to develop or support competing products or services without written authorization
Shoofly may suspend or terminate access to the Services if it reasonably determines that these Terms have been violated.
5. Client Data and data ownership
- Clients retain ownership of Client Data.
- Shoofly processes Client Data solely to provide the Services and in accordance with applicable agreements.
- Shoofly does not sell Client Data and does not claim ownership over Client Data.
Use of Client Data is further governed by the ShooflyAI Privacy Policy and any applicable Client agreements.
6. AI systems and outputs
The Services may use artificial intelligence or automated systems to generate outputs based on Client-provided inputs.
- Outputs are generated probabilistically and may contain errors or inaccuracies
- Outputs are not a substitute for professional judgment or human review
- Clients are responsible for reviewing and validating outputs before use
Shoofly does not use identifiable Client Data to train generalized models deployed across multiple Clients unless expressly agreed in writing.
7. Professional services
Where Shoofly provides professional services such as implementation, configuration, advisory, or operational support:
- Services are governed by the applicable Statement of Work or agreement
- Shoofly acts under the Client’s documented instructions when accessing Client systems or data
- Clients remain responsible for business decisions and outcomes resulting from use of the Services
8. Intellectual property
Shoofly retains all right, title, and interest in and to:
- The Services
- Software, systems, workflows, and configurations
- Documentation, designs, and proprietary methodologies
These Terms grant a limited, non-exclusive, non-transferable right to use the Services as permitted and do not transfer ownership rights.
9. Security and availability
Shoofly implements administrative, technical, and physical safeguards designed to protect the Services and Client Data.
However:
- No system is completely secure
- The Services may be unavailable from time to time due to maintenance, third-party outages, or events beyond Shoofly’s control
Shoofly does not guarantee uninterrupted or error-free operation.
10. Third-party services and integrations
The Services may integrate with or rely on third-party services.
- Third-party services are governed by their own terms and policies
- Shoofly is not responsible for third-party systems, content, or data practices
11. Suspension and termination
Shoofly may suspend or terminate access to the Services:
- For violation of these Terms
- To protect the security or integrity of the Services
- To comply with legal obligations
Termination or suspension does not eliminate payment obligations or provisions that by their nature should survive termination.
12. Disclaimers
The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, Shoofly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law:
- Shoofly will not be liable for indirect, incidental, special, consequential, or punitive damages
- Shoofly’s total liability is limited as set forth in applicable Client agreements
14. Governing law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
15. Changes to these Terms
Shoofly may update these Terms from time to time. We will update the effective date and post the revised Terms on our website. Continued use of the Services constitutes acceptance of the updated Terms.
